New Bitshares Council Cnvote Governance Rules
The New Bitshares council is a democratic organization formed spontaneously by NBS Community Investors, it is all for the development of the New Bitshares and all for the benefit of NBS’s investors. Although the council created the new Bitshares and is an important governance organization of New Bitshares, NBS doesn’t belong to the council alone. The council will participate in the governance of NBS strictly in accordance with the principle of DPOS, and the internal governance of the council follows the principle of the minority obeys the majority. All members of the council should respect the voting result and oppose any disrupt behavior.
2. The form of organization
The NBS core group, executive committee, and communication group are set up under the council.
(1) NBS Core Group
The core group is the core power organizing of the council, and all the decisions of council are made by the core group. The core group is generated by voting proxy who give cnvote the council’s NBS main account. All council members who hold and vote for the council with more than 3 million NBS can join the core group.
In the proxy account, the number of holders of mining certificate “MINER” is also counted within the scope of proxy voting rights. Members of the core group shall strictly safeguard the interests of the council, and permanently refuse to join the core group if they do anything detrimental to the interests of the council. There is only one core group. The head of the core group is responsible for counting votes and counting votes at least once a month. The head of the core group can spot check or increase the number of counting votes according to the situation.
In the proxy account, the number of mining certificates MINER is also counted within the scope of proxy voting rights. (2) Executive Committee
①Composition of executive Committee
The executive committee consists of 12 executive members.
Members of the executive committee are elected by vote of the core group and are limited to the core group members.

② Division of work among executive members
The executive committee is divided into four groups: coordination group, management group, technical group and publicity group. Each group consists of 3 positions, a total of 12 positions, the responsibilities of each position are as follows:
Group leader coordinate and arrange the work within the group, take the lead in coordinating the overall work, drafting the proposals and initiating various multi-signed proposals.
Team member no. 1 is responsible for serving as spokesperson, writes official statements and speaks on behalf of the trade council’s position. The content of the speech must be discussed and approved by the executive committee and reported to the core group. Take the lead in the diplomatic negotiations and the communication between the technical teams of all parties, the gateway team and other external teams. Drafting, revising the copywriting, and other work arranged by the team leader.
Team member no. 2 is responsible for managing the core group, counting votes, initiating discussions and voting, filing various motions and resolutions of the core group, and other work arranged by the group leader.
Team leader is responsible for coordinating and arranging the work within the team, taking the lead in website management and upgrading; manage domain names; sorting and publishing resolutions, announcements, and statements of the council; sorting and publishing daily mining rewards and other data; establishing official forums; website updating, etc.
Team member no.1 is responsible for all kinds of tutorial production, video production, website information collection, email response processing, coordination of the distribution of daily rewards, and other work arranged by the team leader.
Team member no. 2 is responsible for translation work, communication with foreign communities, intellectual property management, and other work arranged by the team leader.
Team leader coordinate and arrange the work within the team, coordinate technical affairs, inspect and supervise the work quality of witnesses, API, CORE and other network issues and promptly supervise improvements, and summarize the upgrade requirements of CORE and peripherals, Maintain github.
Team member no. 1 is responsible for coordinate affairs of APP and faucet, check problems of APP and faucet and coordinate improvement, and other work arranged by the team leader.
Team member no.2 is responsible for coordinate UI and browser affairs, check UI and browser problems and coordinate improvements, familiar with the operation of the command line, and other work arranged by the team leader.
Team leader is responsible for coordinate and arrange the work within the team, coordinate publicity affairs, draft copywriting, and allocate monthly publicity reward funds. Organize and recruit personnel, draw up plans and organize implementation. Organize and publish reports on expenditures and publicity results every month. If there is a major publicity activity expense, need to apply for a separate voting decision, and it will not be included in the regular expenses.
Team member no. 1 is responsible for takes the lead in managing WeChat groups and other social groups, as well as newcomer questions answering. Provide group contact information, respond to related questions, and other work arranged by the group leader.
Team member no. 2 is responsible for communication with media and release of publicity copywriting; Manage official accounts and Weibo; Publish propaganda articles; Make promotional and tutorial videos; Crisis public relations and other work arranged by the team leader.
The above division of work may be partially adjusted and optimized in the future according to the actual situation and shall be decided by the executive committee through collective consultation.
3. Elected, replacement and supervision of the executive committee
The election of the executive committee is held quarterly, and all members of the core group of the council can register for election. The applicants must specify which position they will run for on the executive committee, and the one who gets the most votes for position will be appointed.
Executive members whose hold positions fall out of the core group are automatically quit from the executive committee at the next election.
The executive committee establishes an executive group, and Any core group member can apply to join the executive group as a supervisor. There are 2 to 3 supervisors, who will rotate with the election of the executive committee.
Any member of the core group can initiate a vote to impeach any executive member at any time, with more than 50% of the votes cast by the core group as the criterion.
In order to ensure the stability of the NBS policy, the executive committee can be re-elected for multiple terms. If the executive members want to quit voluntarily, they can propose before each general election.
4. Salary of executive members
The salary of the executive members is linked to the currency price and paid by the group. The team leader is responsible for distributing the salary of the group members. Each term of the executive committee is one quarter, the salary of the executive committee =(currency price increase)×10 million NBS, 6 million NBS capped, evenly distributed among each group. The rate of increase is based on the percentage of the closing price of the first day of the two adjacent quarters and will be issued at the beginning of the next quarter. If the currency price falls, there will be no salary, while the more the currency price rises, the more the salary will be.
5. Transitional management system
At the present stage, NBS has just been established. In order to ensure the smooth transition of NBS, the former branch executive group of the association temporarily performs the duties of the executive committee. All items of this rule apply to the current branch executive group. The Executive Team will hold the first executive committee election no later than June 1, 2021 depending on the development of the project, as early as possible if conditions permit. Before the election of the first executive committee, in order to improve efficiency and attract talents, all core group members can register for any post at any time.
As the current executive team has 20 million NBS option award, the executive committee salary will not be implemented, and will be implemented after the election of the first executive committee.
(3) Communication groups
The exchange group is created spontaneously, and all community members who vote to the council can form the communication group spontaneously. After the communication group is formed, the group leader can apply to the core group for official recognition of the communication group. After the core group votes, it will be announced by the core group and officially recognized.
As an organizational member of the council, any proposal or suggestion from the communication group can be submitted to the top 100 members of the council and the core group for discussion. If the communication group disagrees with the result of the proposal of the core group, it has the right to send it back to the core group for reconsideration according to the scale of the holding agent members.
3. Rules of Procedure
(1) The minority is subordinate to the majority
The core group voting results have the highest effect in any decision made by the council. The core group implements the same vote, the same right, one person, one vote rule. The members of the council shall obey the results of the core group voting, and shall retain if there are disagreements. If core group members and communication group members have greater disagreement on the voting results, they can initiate re-discussion and voting as appropriate. However, it is strictly forbidden to split the council on the grounds of dissatisfaction with the voting results. Individuals in this situation will be kicked out of the council.
(2) Full discussion
In principle, the voting proposal shall be fully discussed and revised by the executive committee before being submitted to the core group for discussion. The discussion time of the core group for major voting shall not be less than one day, and explain well to ensure that each member of the core group fully understands the content of the proposal and makes correct judgments. Any member of the council has the right to write a proposal and initiate discussion. In principle, the voting shall be initiated by the executive committee. If any member of the executive committee does not agree with the content of the proposal and does not initiate a vote, the proposal writer can entrust any core member to initiate a vote in the core group.
(3) Democratic centralism
Democracy: Any member of the council can express any opinions and initiate discussions on various aspects of the council and NBS governance, except for attacking the ciuncil and distorting the facts. Any council member can initiate the impeachment of any executive committee and other council members. Any member of the core group has the right to vote, to know, and to elect and be elected. Decisions and discussions of the executive committee shall be notified in time.
Concentration: All members of the council’s resolutions should concentrate their efforts to complete. The executive committee has the right to decide the matters authorized to it in the previous resolutions of the council.
(4) Voting rules
Each vote lasts more than 24 hours, and the group leader will be prompted to vote at least three times during the day. If more than half of the votes are cast during the voting period, the vote shall be regarded as passed and shall be publicized and implemented directly. If after 24 hours, the number of voting participants is more than one third of the group, the voting is also regarded as valid, and the voting results are counted, publicized and implemented. If the number of voting participants does not exceed one third of the number of voting participants in the group, the time will continue indefinitely until the number of voting participants exceeds one third of the number of people in the group, the voting results will be counted, publicized and implemented.
